Terms of Service

Effective Date: 26 September 2025

These Terms of Service (“Terms”) govern your use of the Foxy Blondes B2B Portal (“Portal”) and the wholesale supply of Foxy Blondes products (“Products”). By registering an account, submitting an order, or otherwise using the Portal, you agree to be bound by these Terms.

Throughout these Terms, “Foxy Blondes”, “we”, “us” or “our” refers to The Trustee for Logan Family Investments Trust (ABN 71 603 949 660) trading as Foxy Blondes. “You” or “your” refers to the wholesale customer, including its directors, partners, or authorised representatives.

1. Eligibility & Account Registration

• Access to the Portal is restricted to approved wholesale customers only.

• You must provide accurate, current and complete information during registration and keep this information up to date.

• You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.

• We reserve the right to refuse, suspend or terminate access at our discretion.

2. Ordering & Supply

• All orders placed via the Portal are subject to acceptance by Foxy Blondes.

• We may set minimum order quantities and reserve the right to reject or cancel orders at any time.

• Pricing, product availability, and descriptions may change without notice.

• Risk in the Products passes to you on delivery. Title passes only once full payment has been received.

3. Payment Terms

• Payment terms are as agreed during your account setup (including PencilPay arrangements, direct debit authority, or prepayment).

• Where credit is extended, you agree to comply with the Application for Credit Agreement (including guarantee and indemnity provisions).

• We may suspend or cancel your account, withhold delivery, or charge interest on overdue amounts if payment terms are not met.

• All prices are exclusive of GST unless otherwise stated. GST will be charged where applicable.

4. Use of Marketing Materials & Brand Assets

• We provide approved imagery, brand guidelines and marketing materials for use in promoting Foxy Blondes products.

• You must use only the authorised assets provided and update your materials when notified of changes.

• You may not alter, misuse or misrepresent the Foxy Blondes brand.

5. Resale & Territory

• Products purchased via the Portal are for resale only in the approved region(s) and channels agreed with Foxy Blondes.

• You must not resell our products on unauthorised online marketplaces (e.g., Amazon, eBay) without prior written consent.

• We may set recommended retail prices (RRPs), however these are guidelines only and not binding under Australian law.

6. Damages & Defects

• Any damaged or defective stock must be reported to us within 7 days of receipt, supported by photos.

• We may, at our discretion, issue replacements or credits for verified defective stock.

• Returns for change of mind are not accepted.

7. Privacy & Data

• We collect and process your information in accordance with our Privacy Policy.

• You consent to us collecting, using and disclosing your information (including to credit reporting bodies, debt collection agencies, and payment service providers) for account management, payment processing and compliance purposes.

• You are responsible for ensuring any personal data you share with us (e.g., staff details) is lawfully collected and disclosed.

8. Intellectual Property

• All intellectual property in our products, packaging, designs, trademarks, and marketing materials remain the exclusive property of Foxy Blondes.

• You are granted a limited, revocable licence to use our brand assets strictly for the purpose of reselling our products.

9. Warranties & Liability

• To the fullest extent permitted by law, all Products are provided “as is” without additional warranties.

• We are not liable for any indirect, consequential or special losses including loss of profit, goodwill or opportunity.

• Our liability for breach of any consumer guarantee under the Australian Consumer Law is limited to replacement of the goods or refund of the purchase price.

10. Termination & Suspension

• We may suspend or terminate your Portal access immediately if you:

  • Breach these Terms or your credit agreement;

  • Engage in conduct that damages our brand or reputation; or

  • Become insolvent or subject to external administration.

• Termination does not affect your obligation to pay outstanding amounts.

11. Governing Law

• These Terms are governed by the laws of Queensland, Australia.

• You submit to the exclusive jurisdiction of the courts of Queensland.

12. Changes to Terms

• We may update these Terms from time to time by posting a revised version on the Portal.

• Continued use of the Portal after changes constitutes acceptance of the revised Terms.
